ENERGY SURCHARGE

Dear Customer:

The price of fuel oil in Europe, and for global hydrocarbon energy in general, has increased to unprecedented levels. The rise in energy prices has had a significant impact on the production costs of our Celite plant in Murat (France). As a result, effective June 15, 2008, we have no choice but to implement an energy surcharge which will appear as a separate line item on your invoice.

We adjust the surcharge monthly based on the Rotterdam Heavy Fuel price. The Energy Surcharge is calculated on the month proceeding the month of implementation, based on the latest monthly average price converted into EUR. The Energy Surcharge is invoiced in EUR at the exchange rate of the 25th day of the month. (Reference the calculation tables below)

The Energy Surcharge for November 2008 is based on the September 2008 price of 370 €/ton for Heavy Fuel;as such, it will be of 32 €/ton.

Any change in the surcharge becomes effective the 26th day of each month.
